The story in brief
- Collectibles reshape retail. In the quarter to August 2026, collectibles revenue grew 57% to $356.3 million, while operating income reached a second quarter record of $160.2 million.
- eBay changes the scale. GameStop’s proposed eBay acquisition carries approximately $55.5 billion of undiluted equity value, extending its strategy well beyond the store business.
- Debt becomes equity. On September 3, 2026, GameStop completed exchanges retiring approximately $1.4 billion of convertible notes for common stock, reducing long-term debt to approximately $2.8 billion without using cash.
What drives the business
- GameStop’s strategy pairs maximizing cash from its legacy retailer with deploying capital into investments and acquisitions, using stores as trade-in, fulfillment and service locations rather than simply outlets for games.
- Its May 2026 proposal to acquire eBay offered consideration comprising 50% cash and 50% GameStop common stock, with the store network intended to support authentication, intake, fulfillment and live commerce.
- As of August 1, 2026, GameStop held approximately 43.4 million eBay shares valued at approximately $4.9 billion, alongside $5.1 billion of cash, cash equivalents and marketable securities.
- GameStop closed 727 United States stores in fiscal 2025, and Nintendo, Sony and Pokemon collectively accounted for a majority of its new product purchases during that fiscal year.
- In the quarter to August 2026, collectibles reached 45.1% of net sales versus 23.4% a year earlier, but total net sales fell to $790.2 million from $972.2 million, reflecting the prior-year Nintendo Switch 2 launch, planned closures and the France divestiture.
What the price assumes
At $23.96, the reverse DCF implies annual growth of -0.6% in free cash flow after stock pay for ten years, using a 10.2% discount rate.
That requires a much smaller decline than the -11.1% annual record over the last 10 years and exceeds the TenQ check’s -3.5% bar, so the growth-assumption check fails.
Over the last twelve months, GameStop generated $686 million of free cash flow before $31 million of stock-based pay, with a free cash flow yield of 5.7%.
What could change the story
- The eBay proposal is nonbinding, and TD Securities’ highly-confident letter for up to $20 billion is not committed financing, leaving execution and funding unresolved.
- The approximately $4.9 billion eBay holding concentrates investment exposure, while digital assets and derivatives can also move reported earnings independently of retail performance.
- In the quarter to August 2026, net income was $298.7 million versus adjusted net income of $161.1 million after exclusions including investment and derivative gains, making the distinction between operating progress and investment results important.
- Shares increased 80.5% over three years, and debt exchanges plus potential acquisition-related issuance can further dilute existing holders.
- Revenue growth over the last twelve months was -7.7%, while return on employed capital of 4.6% failed TenQ’s 10.0% check, leaving pressure on collectibles and cost reductions to sustain profitability.
What to watch next
- GameStop expects adjusted EBITDA in excess of $650 million for the fiscal year ending January 30, 2027, raised from in excess of $600 million, after $339.7 million in the first six months of fiscal 2026.
- Revenue guidance issued August 31, 2026 calls for $780 million to $800 million in the calendar quarter to September 2026.
- The next releases will show whether collectibles retain their larger sales share and whether operating profits translate into cash rather than primarily investment-related earnings.
- Further eBay disclosures will clarify transaction terms, financing commitments and potential share issuance, alongside the share count following the completed debt exchanges.
